OUT-STANDING BV
Energieweg 4, BE-2390 Malle
Effective 07 September 2026
Any sales and services performed by OUT-STANDING BV are governed by the following terms and conditions and not by the purchase terms and conditions of the client. The general terms and conditions may if necessary be supplemented by special terms and conditions which will be specified in the quotation. When the client places an order he/she automatically accepts these terms and conditions.
Our quotations and offers are non-binding. The quotation represents an order confirmation when it has been signed for approval. The sales prices or price for services are as specified at the time the quotation is signed.
If, after the order has been accepted in writing and duly signed, any additions and/or amendments are to be made to the designs and/or the works to be carried out which have just been described in the order, any additional expenses which may ensue for same will be charged to the client.
Under no circumstances can OUT-STANDING BV be held liable for any damage to the goods or property of the client, not even when they are transported by us or handed to us for safe-keeping.
Any delay in the shipment of the goods to be supplied may not be seen as a pretext to refuse or delay payment for the invoiced goods. The delivery terms specified by OUT-STANDING BV are approximate and non-binding. Their expiry does not nullify the contract. Should the case arise, cancellation on the part of the client can only be entertained after prior formal notice in
writing has been received and after a last reasonable delivery term has been set. However, this will not constitute any grounds for damages.
Any complaints regarding the goods purchased or services rendered will only be valid provided these complaints have been made in writing and by registered mail and this within eight days of the delivery or performance of these services. Complaints have to be clearly demonstrable and reproducible. Any complaints regarding invoices are only valid if they are notified by registered letter within eight days from the date of invoice. In the event a complaint about goods or services is accepted OUT-STANDING BV shall limit its liability to the replacement or repair of the goods or services found wanting. OUT-STANDING BV shall be released of their obligation to deliver goods or services in the event of riots, fire, earthquakes, floods, labour disputes, lack of transport or any other events which are considered to be events of force majeure (Acts of God). In these cases the client is also
released from accepting the goods and/or services which form the subject of the sales agreement and the ensuing products.
Under no circumstances can such events lead to payment of damages.
Unless otherwise specified in the agreement the terms of payment are 8 days from date of invoice or pursuant to the terms of payment specified on the invoice by means of a specific due date. Any costs ensuing from the payment of invoices are at the expense of the client.
Subject to agreement all our invoices are payable in cash in Malle, Energieweg 4. Overdue invoices shall legally and without prior reminder incur an interest of 1% per month and this from their due date.
As compensation for additional loss incurred as a result of defaults, each invoice amount not settled by the due date, will legally and without any prior formal notice, be increased by 10% with a minimum of โฌ 50 per invoice. Each month which has commenced shall be counted as one full month. Payment of this fixed increase does not release the client of his/her obligation to observe the payment terms at the time of their due date.
All OUT-STANDING BV sales are concluded under the suspensive condition that, through information obtained, the client proves to be creditworthy. At all times, OUT-STANDING BV reserves the right, even if an order has been fully or partially filled, to seek a payment guarantee from the client or to take any measures it deems necessary if such guarantee cannot be produced.
In the event of non-payment OUT-STANDING BV reserves the right to consider the agreement legally terminated. The buyer explicitly acknowledges to have taken cognizance of this ownership clause. In the event of non-payment OUT-STANDING BV also reserves the right to cancel any further unsupplied orders. The transfer of risks takes place at the location and the moment in time the goods are delivered and this notwithstanding the ownership clause and this in application of Belgian law.
In the event of disputes, regardless of their nature and the place of delivery, installation or performance of services, solely the courts of the judicial district of Antwerp have jurisdiction, i.e. the Justice of the Peace Court of Zandhoven and the Commercial Court in Antwerp and the Court of First Instance in Antwerp and this in application of Belgian law. Only a voluntary decision on our part can lead to a deviation from this jurisdiction clause.
These jurisdictions clauses also apply when bills of exchange are drawn on clients.
Any infringements on the intellectual property rights of OUT-STANDING BV shall be pursued by all legal means.
